PCGuys Telecom - SMS Services Schedule for Resellers

This Addendum relates only to our PCGuys SMS products. They do not relate to any other product or service supplied by PCGuys unless specified herein.
1. Definitions and Interpretation
In this Service Agreement, the following expressions shall have the following meanings unless the context otherwise requires:
"Credits" - means pre-paid credit tokens which can be used for the transmission of SMS messages;
"SMS" - means the sending of SMS text messages for personal or business use via the PCGuys control panel. These are one-way outbound messages.
2. Supply of Services
2.1. PCGuys provides no assurances or guarantees and accepts no liability concerning the usage, accuracy, or quality of information conveyed through the SMS Services, nor for any loss or damage to data stored or transmitted via these services.
2.2. PCGuys is entitled to suspend any SMS account that remains inactive (defined by the absence of outbound messages) for twelve (12) months, with any residual credit forfeited without reimbursement. Should credits in an active account remain unused for over twenty-four (24) months, PCGuys may remove these credits from the account balance without offering a refund.
2.3. Normally, one message credit is expended per message delivered or attempted. However, PCGuys reserves the right to impose additional charges or deduct credits equivalent to any internetworking or network termination fees incurred. Changes to the credit deduction rate per SMS delivery may be enacted by PCGuys without prior notification.
2.4. All message credits are non-refundable. In instances of non-delivery requiring investigation, the client shall bear any administrative fees levied by the delivering mobile network, with PCGuys potentially estimating and charging these costs upfront. Any subsequent adjustments following the network's final billing will not result in credit refunds for undelivered messages.
2.5. Service interruptions may occur due to factors beyond PCGuys' control, like severe weather conditions, power failures, or ISP or broadband malfunctions, rendering the services inaccessible.
3. Acceptable Use
3.1. You warrant that individuals receiving messages via PCGuys services have consented to this, in accordance with relevant legal and regulatory obligations. You must provide clear opt-out/unsubscribe options in your messages, conforming to legal requirements and adhering to the Mobile Marketing Association's Consumer Best Practices Guidelines, as applicable.
3.2. You are obliged to observe all applicable local, national, and international laws and regulations. You are fully accountable for all activities conducted under your account, including the content of messages dispatched through PCGuys Services. 3.3. You acknowledge the existence of specific regulations governing SMS messages and that PCGuys does not interpret these laws. You bear the responsibility to understand and comply with legal stipulations pertinent to your messaging activities.
3.4. You should schedule messaging activities responsibly and respectfully, following local, national, and international communication timing regulations. You are solely responsible for obtaining necessary rights or licences for included data in outbound messages. If you are unfamiliar or unclear on the legalities of any message, you must consult with your lawyer prior to your use of the PCGuys Sites or Services.
3.5. PCGuys services are for professional use only, prohibited activities include:
- Sending unsolicited marketing messages (i.e., spam).
- Harvesting, or otherwise collecting information about others, without their consent.
- Misleading others as to the identity of the sender of your messages, by creating a false identity, impersonating the identity of someone/something else or by providing contact details that do not belong to you.
- Transmitting, associating or publishing any unlawful, racist, harassing, libellous, abusive, threatening, demeaning, immoral, harmful, vulgar, obscene, pornographic or otherwise objectionable material of any kind.
- Transmitting any material that may infringe upon the intellectual property rights of third parties including trademarks, copyrights or other rights of publicity.
- Transmitting any material that contains viruses, trojan horses, worms, time bombs, cancel-bots or any other harmful/deleterious programs.
- Interfering with, or disrupting, networks connected to the Services or violating the regulations, policies or procedures of such networks.
- Attempting to gain unauthorised access to the Services, other accounts, computer systems or networks connected to the Services, through password mining or any other means.
- Interfering with another's use and enjoyment of the Services or PCGuys Sites; or
- Engaging in any other activity that PCGuys believes could subject it to criminal liability or civil penalty/judgment.
